TERMS & CONDITIONS

These terms and conditions are intended to serve as a resource and outline expectations for the WordSpark Digital Consulting client and consultant relationship.  Our goal is to foster mutual respect, understanding and clear communication throughout the duration of the agreed-upon contract.

PROFESSIONALISM

Ethics, integrity, honesty, and transparency are at the core of the services provided by WordSpark Digital Consulting (WSDC). Both parties are expected to refrain from engaging in illegal, dishonest, or unethical discussions or actions related to the project.

CONFLICTS OF INTEREST

WordSpark Digital Consulting defines any conflict of interest as any business or personal relationship that would provide an unfair advantage were consulting services provided. With that, WordSpark Digital Consulting agrees to fully disclose any potential conflicts of interest to potential and existing clients as they arise.

COMMUNICATION

Clients are asked to keep regular communication centralized via email outside of scheduled project check-ins. In an emergency, a text message or phone call/voicemail is the best way to connect. Typically, a client can expect an email response within 48 hours of being received.

WordSpark will send regular and relevant updates to project managers and team members to effectively manage their role in the project’s success and completion within the agreed-upon timeline.

Calls will be held via phone or video chat when requested and set up by the interested party. Calls can be scheduled directly through the WordSpark Calendly portal and are in Eastern Time.

All communication and activities related to the project will be held to the strictest confidence. WordSpark will never share sensitive information without your consent.

DECISIONS

You are solely responsible for decisions made about your business and assume the risk associated with decisions made. WordSpark is contracted to share our strategic advice and professional opinions, offer resources, or make referrals. However, as the client, it is your responsibility to decide which, if any, to act upon and with that action agree that liability remains with the client.

SCHEDULING

WordSpark Digital Consulting’s hours are based on a varied portfolio of work. With that, once a project timeline has been approved, clients are asked to give a 24-hour notice for urgent meetings or modifications related to the agreed-upon timeline.

Clients are welcome to inquire about rush fees, should there be a crisis situation that arises that requires immediate attention outside of the timeline.

FEES AND BILLING

Fess are scaleable and offered at both an hourly or ongoing retainer rate. Clients will never receive a surprise bill. If a client requires additional work out of scope, written approval will be requested before additional costs are directed to the client. For urgent work, we may impose rush fees. You will be notified of rush fees before time-sensitive work is started.

PAYMENT

Invoices will be sent on the last Monday of each month via Freshbooks, unless another payment structure is agreed upon by both parties. You have the option to pay online via credit card, ACH transfer or business check. Should you choose a pay-in-full option when available, those terms will be shared with you at the same time your contract is issued.

If client invoices remain unpaid more than five (5) business days after due date, work will cease until payment has been completed.

LIABILITY

WordSpark Digital Consulting is covered by professional liability insurance.  Proof of insurance coverage can be provided to clients at their request.

YOUR FEEDBACK

Feedback is important to the success of the project and health of the client and consultant relationship. With that, dialogic communication that is direct, clear, and productive is expected when discussing project goals and objectives.

At the end of our contract, WordSpark Digital Consulting will send a short Google Form survey, giving you an opportunity to comment on our work together. This evaluation helps WordSpark understand your perspective on our time together and provides information that can guide the further development of WordSpark’s business process.
